Terms of Service: Qrusible

1. NATURE OF SERVICE

Qrusible is a talent network platform that facilitates the discovery, assessment, and engagement of professional talent.

• For Talent: We provide tools to build a professional identity and access career opportunities.
• For Clients: We offer a curated pool of candidates and assessment data.

No Employer-Employee Relationship: Qrusible is an independent facilitator. Users acknowledge that Qrusible is not an employer, recruitment agency, or labor contractor unless explicitly stated in a separate written service agreement.

2. ELIGIBILITY & REGISTRATION

• You must be at least 18 years of age and possess the legal authority to enter into a binding contract under the Indian Contract Act, 1872.
• You agree to provide accurate, current, and complete information. Any misrepresentation of skills, experience, or identity may lead to immediate account termination.

3. NON-CIRCUMVENTION

To protect the integrity of the Qrusible network, all users agree to the following:

• Direct Hiring Restriction: Clients shall not, directly or indirectly, solicit, engage, or hire any Talent introduced through Qrusible for a period of 12 months following the latest introduction or interaction on the Platform, without the express written consent of Qrusible.
• Reporting Obligation: If a Client approaches a Talent outside the Platform, or vice versa, to discuss engagement regarding a role discovered via Qrusible, the party approached must immediately notify Qrusible.
• Breach Consequences: Any attempt to bypass the Platform to avoid contractual obligations or fees (as governed by separate commercial agreements) will be considered a material breach of these Terms.

4. INTELLECTUAL PROPERTY & DATA

• Platform Ownership: All software, algorithms, "Q-Factor" metrics, and branding are the exclusive property of Qrusible.
• User Content: You grant Qrusible a non-exclusive, royalty-free, worldwide license to host, display, and analyze the content you upload (resumes, portfolios, etc.) for the purpose of operating the Platform.
• Confidentiality: Users may gain access to "Confidential Information" (e.g., proprietary assessment methods or sensitive company project details). You agree to maintain strict confidentiality and not disclose such information to third parties.

5. PROHIBITED CONDUCT

You agree not to:

• Use the Platform for any purpose that violates Indian law.
• Post "spam," fraudulent job postings, or misleading professional credentials.
• Attempt to scrape, hack, or reverse-engineer the Qrusible assessment engine.
• Engage in any discriminatory behavior based on race, religion, gender, or caste.

6. LIMITATION OF LIABILITY

Qrusible provides the Platform on an "as-is" basis. To the fullest extent permitted by law:

• We are not liable for the conduct, performance, or suitability of any Talent or Client.
• We do not guarantee that the Platform will be error-free or that the assessments will predict specific job performance with 100% accuracy.
• Our total liability for any claim arising out of these Terms shall not exceed ₹10,000 (Ten Thousand Indian Rupees).

7. GOVERNING LAW & JURISDICTION

• These Terms are governed by and construed in accordance with the laws of India.
• Dispute Resolution: Any dispute arising out of these Terms shall first be attempted to be resolved through mutual mediation.
• Jurisdiction: If mediation fails, the courts of Hyderabad, Telangana (or your specific city) shall have exclusive jurisdiction over all matters relating to these Terms.

8. TERMINATION

Qrusible reserves the right to suspend or delete accounts at its sole discretion, with or without notice, for conduct that violates these Terms or is harmful to other users or the business interests of Qrusible.

9. DATA PRIVACY & PROTECTION (DPDP ACT COMPLIANCE)

Qrusible is committed to protecting your personal data in accordance with the Digital Personal Data Protection Act (DPDP), 2023, and other applicable Indian privacy laws.

• Consent as the Legal Basis: By creating an account, you provide free, specific, informed, unconditional, and unambiguous consent for Qrusible to process your personal data (including name, contact details, professional history, and assessment scores) for the purpose of talent matching and network networking.
• Data Fiduciary & Processor: Qrusible acts as the Data Fiduciary. We determine the purpose and means of processing your data. Any third-party cloud providers or assessment tools we use act as Data Processors under our instruction.
• Purpose Limitation: We will only use your data for the "Specified Purpose" of providing recruitment, networking, and skill assessment services. We will not sell your personal data to third-party advertisers.

Data Principal Rights:

As a user (Data Principal), you have the following rights:

• Right to Access: You may request a summary of the personal data being processed.
• Right to Correction & Erasure: You may update inaccurate data or request the deletion of your data when it is no longer necessary for the purpose it was collected.
• Right to Withdraw Consent: You may withdraw your consent at any time; however, this may limit your ability to use Qrusible's core features.
• Right to Grievance Redressal: You have the right to register a grievance with our Data Protection Officer (DPO).

• Data Breach Notification: In the event of a personal data breach, Qrusible will notify the Data Protection Board of India and the affected users as required by law.
• Retention: We retain your data only for as long as your account is active or as required by Indian law for audit and compliance purposes.
